Changes in Lithuanian Company Law and Labour Code
 

Hereafter all companies board resolutions should get more than half of members support.

There are proposals to establish more flexible provisions to regulate the termination of employment contract on the initiative of the employer and cancel the provision prohibiting concluding of fixed-term employment contract if the work is of a permanent nature.


Company Law


From the 1st of July, 2009 the resolution of the Board shall be adopted when at least the half of all members of the Board vote for them. According to the Law on Companies that is valid at this moment, the resolution is deemed to be adopted when there are more votes "for" than "against" from the Board members who are present at the meeting. 


Labour Code regarding the liberalization of labour relation


The Ministry of Social Security and Labour of the Republic of Lithuania presented amendments of Labour Code regarding the liberalization of labour relation. It is proposed to establish more flexible provisions to regulate the termination of employment contract on the initiative of the employer, the opportunity to estimate different severance pay and notice period by the collective agreement.


Labour Code regarding conclusion of employment agreement


It is proposed to cancel the provision prohibiting to conclude the fixed-term employment contract if the work is of a permanent nature and other. All amendments shall be valid till the 31st of December 2010, if they are approved by the Parliament.


Increased the rate of daily allowance that could be deducted from income


Government approved The Ministry of Finance proposal to change resolution related to the deductibility of travel expenses from income. Starting from 6th of March 2009, the companies from income may deduct 19,50 litas daily allowance for traveling in Lithuania, instead of 15,60 litas.
